Terms & Conditions

01Introduction

These Terms & Conditions apply to everyone who uses the Cryptex IT Solutions (Pty) Ltd website (cryptexsolutions.co.za) and to all clients who engage us for services. By using our website or engaging our services, you agree to these terms.

These terms do not replace any signed proposal, statement of work, or service agreement — where a signed agreement conflicts with these terms, the signed agreement takes precedence.

02Services

Cryptex IT Solutions provides IT and AI-focused services, which may include: AI automation and workflow automation; field operations software development; business AI solutions and embedded AI; reporting infrastructure and dashboards; IT consulting; website design and development; website hosting management; DNS management; SEO and GEO optimisation; monthly website care and maintenance packages; and database setup and management.

The specific services for your engagement will be set out in your proposal or agreement.

03Quotations & Proposals

Quotations and proposals are valid for 30 days from the date of issue. A quotation or proposal does not constitute a binding agreement until it is signed or confirmed in writing by both parties.

04Payment Terms

A 50% deposit is required before work commences. The balance is due on completion. Invoices are payable within the terms stated on the invoice.

05Refund Policy

All fees are strictly non-refundable. Refunds will only be considered where required by applicable South African law, including but not limited to the Consumer Protection Act 68 of 2008, where such provisions cannot lawfully be excluded.

Any claim for a refund must be submitted in writing to legal@cryptexsolutions.co.za within 30 days of the disputed transaction.

06Intellectual Property

All intellectual property created by Cryptex IT Solutions transfers to the client upon receipt of full and final payment. Until full payment is received, all such intellectual property remains the property of Cryptex IT Solutions.

07Warranty

A 30-day post-launch bug-fix warranty is included. This covers bugs and errors in the work we delivered. It does not cover new feature requests, failures of third-party services, or changes introduced by the client or others.

08Limitation of Liability

Our liability is capped at the total value of the applicable contract. Cryptex IT Solutions is not liable for any indirect, consequential, or special damages arising from our services.

09Third-Party Services

Cryptex IT Solutions is not liable for downtime, data loss, or other issues caused by third-party platforms, including but not limited to Vercel, GoDaddy, Domains.com, Supabase, or Calendly.

10Confidentiality

Both parties agree to keep confidential all sensitive business information, credentials, and proprietary data shared during the engagement, and to use it only for the purposes of the engagement.

11Termination

Either party may terminate an engagement by giving 30 days' written notice. All outstanding invoices must be settled before we hand over files and credentials.

12Force Majeure

Neither party is liable for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to natural disasters, power or internet outages, load-shedding, strikes, or acts of government.

13Dispute Resolution

In the event of a dispute, the parties agree to refer the matter to mediation before initiating any legal proceedings.

14Governing Law

These terms are governed by the laws of the Republic of South Africa, and the parties submit to the jurisdiction of the South African courts.

15Amendments

Cryptex IT Solutions reserves the right to update these terms. Clients will be notified of material changes via email.
